These Payments Terms of Service (the “Payments Terms”) form a legally binding agreement between you (“you”, “your”, “Applicant”, “Employer”, or “Merchant”) and Dex Cognitive Analytics Inc. (“Dex”, “we”, “us”, or “our”), a corporation headquartered in Vancouver, British Columbia, Canada.

These Payments Terms govern all payment processing, billing, credit purchases, subscriptions, refunds, and related financial features of the Ask for Dex platform (the “Services”).

By creating an Account, purchasing Credits, subscribing to a plan, or making any payment through the Services, you agree to be bound by these Payments Terms.

These Payments Terms incorporate by reference the main Terms of Service, Privacy Policy, and Return and Refund Policy. In the event of any conflict regarding payments, refunds, or credits, the more specific protective provisions of these Payments Terms and the Return and Refund Policy shall control.

A. Payment Processing

A.1 All payments, refunds, and credit purchases are processed exclusively through Shopify and its authorized payment partners. Dex does not directly store full payment card numbers or sensitive authentication data.

A.2 You are solely responsible for ensuring that any payment method you provide is valid, current, and has sufficient funds or credit.

A.3 You authorize Dex and its payment processors to charge the payment method on file for all applicable fees, taxes, charges, and any amounts owed under these Payments Terms or the Return and Refund Policy.

A.4 Dex reserves the right to refuse, cancel, or reverse any transaction that it reasonably believes to be fraudulent, unauthorized, or in violation of these Payments Terms.

B. Account and Eligibility

B.1 Employer Accounts must be registered using a corporate email address associated with a legitimate company domain. Free or consumer email providers (including Gmail, Yahoo, Hotmail, Outlook.com, iCloud, and similar services) are strictly prohibited.

B.2 You represent and warrant that all information you provide during registration and payment is accurate, complete, and current. Providing false or misleading information constitutes a material breach of these Payments Terms.

B.3 Dex reserves the unilateral right to refuse, suspend, restrict, or terminate any Account or payment activity at its sole discretion, without liability.

C. Plans, Credits, and Fees

C.1 Employer plans and credit allocations are as published on the Services at the time of purchase (illustrative current allocations, subject to change):

  • Free Plan: 30 Credits per month
  • One Plan: 200 Credits per month
  • Pro Plan: 1,000 Credits per month
  • Max Plan: 5,000 Credits per month

C.2 Paid plans may be offered in 1-month, 3-month, 6-month, or 12-month terms. Pricing and any volume discounts are as displayed at the time of purchase.

C.3 All fees are charged in the currency displayed at checkout and are exclusive of applicable taxes unless expressly stated otherwise. You are solely responsible for all applicable taxes, duties, and governmental charges.

C.4 Credits have no cash value, are non-transferable, and may only be used within the Services in accordance with these Payments Terms and the applicable plan rules.

D. Refunds

D.1 All refund rights and obligations are governed exclusively by the Return and Refund Policy, which is incorporated into these Payments Terms by reference.

D.2 Without limiting the Return and Refund Policy:

  • Applicants may request a full refund within thirty (30) days of purchase on a no-questions-asked basis. Any Certification earned as a result of the refunded purchase will be permanently revoked.
  • Employers may request a refund within fourteen (14) days of purchase only if ten percent (10%) or less of the monthly credit allocation has been used, and only after downgrading to the Free Plan. Unused Credits are forfeited.
  • After an Employer refund is processed, the same Company is ineligible for further refunds for six (6) months.

D.3 Except as expressly provided in the Return and Refund Policy, all purchases are final and non-refundable.

E. Chargebacks and Payment Disputes

E.1 You agree to contact Dex at support@askfordex.ca and to attempt good-faith resolution of any billing or payment concern before initiating a chargeback, payment dispute, or similar proceeding with your bank, card issuer, or payment provider.

E.2 Initiation of a chargeback or payment dispute without prior good-faith contact constitutes a material breach of these Payments Terms.

E.3 In the event of any chargeback or payment dispute, Dex may, at its sole discretion:

(a) immediately suspend or permanently terminate the affected Account and any related Accounts; (b) revoke any associated Certifications or Credits; (c) recover from you the original transaction amount plus all chargeback fees, penalties, collection costs, and reasonable legal fees; and (d) pursue any additional remedies available at law or in equity.

F. Termination

F.1 You may stop using the Services and request deletion of your Account at any time, subject to residual retention required for legal, accounting, security, or certification-integrity purposes.

F.2 Dex may suspend or terminate your access to the Services immediately, without notice and without liability, if you breach these Payments Terms, engage in fraudulent or abusive activity, create risk for Dex or other users, or for any other reason at Dex’s sole discretion.

F.3 Upon termination, all outstanding amounts remain immediately due and payable. Provisions concerning payment obligations, refunds, chargebacks, limitation of liability, indemnification, and governing law shall survive termination.

G. Limitation of Liability

G.1 TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DEX AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES ARISING OUT OF OR RELATED TO THESE PAYMENTS TERMS OR THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

G.2 DEX’S TOTAL AGGREGATE LIABILITY UNDER THESE PAYMENTS TERMS SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES YOU ACTUALLY PAID TO DEX IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM.

G.3 The limitations in this Section apply even if any limited remedy fails of its essential purpose.

H. Indemnification

You agree to indemnify, defend, and hold harmless Dex and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to:

(a) your use of the payment, billing, or credit features of the Services; (b) your breach of these Payments Terms; (c) any chargeback, payment dispute, or fraudulent transaction associated with your Account; or (d) your violation of any applicable law or third-party rights.

I. Governing Law and Dispute Resolution

I.1 These Payments Terms shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

I.2 Any dispute arising out of or relating to these Payments Terms shall first be subject to good-faith negotiation. If unresolved after thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.

J. Changes to These Payments Terms

J.1 Dex reserves the unilateral right to amend these Payments Terms at any time.

J.2 The revised Payments Terms will be posted on the Services with an updated “Last Updated” date. Continued use of the Services after the effective date constitutes acceptance of the revised Payments Terms.
