Refund policy

This Return and Refund Policy (the “Policy”) is a legally binding agreement between you (“you”, “your”, “Applicant”, or “Employer”) and Dex Cognitive Analytics Inc. (“Dex”, “we”, “us”, or “our”), a corporation organized under the laws of Canada and headquartered in Vancouver, British Columbia.
This Policy governs every request for a refund, credit, reversal, chargeback, or similar remedy arising from any purchase made through the Ask for Dex platform and related services (collectively, the “Services”).
By completing any purchase, you represent that you have read, understood, and irrevocably agree to be bound by this Policy. If you do not agree, do not make a purchase.
1. Definitions
For purposes of this Policy:
- “Applicant” means an individual who purchases access, assessment, certification, or related offerings for personal use.
- “Employer” means an organization (or its authorized representative) that purchases plans, credits, seats, or related offerings for commercial or workforce purposes.
- “Purchase” means any paid transaction processed through Shopify or its payment partners on the Services.
- “Credits” means the unit of measure used to authorize Employer invitations and related sponsored activity.
- “Certification” or “Credential” means any digital or public record of assessment outcome issued by Dex.
- “Company” means the legal entity identified by its registered company name, primary domain, billing identity, and related account information.
2. Absolute Scope and Exclusivity
2.1 This Policy is the sole and exclusive remedy available to you for any claim relating to a refund, reversal, or return of funds arising from a Purchase.
2.2 All payments are processed exclusively by Shopify and its authorized payment service providers. Dex does not store, process, or control payment-card data.
2.3 No verbal statement, support communication, marketing material, or other representation shall modify or expand the rights granted under this Policy.
3. Applicant Refunds – Strict Conditions
3.1 An Applicant may request a full refund of an eligible Purchase only if the request is received by Dex within thirty (30) calendar days of the original purchase date (the “Applicant Refund Window”).
3.2 Refunds within the Applicant Refund Window are provided on a no-questions-asked basis, subject only to verification of the original transaction and payment method.
3.3 Upon processing of any Applicant refund: (a) the refund shall be issued solely to the original payment method; (b) the Applicant’s account shall remain active; and (c) any Certification, Credential, badge, public verification record, or related digital asset issued as a result of the refunded Purchase shall be immediately, permanently, and irrevocably revoked. Dex shall remove such records from all Applicant-facing and public verification surfaces under its control.
3.4 After the Applicant Refund Window expires, the Purchase is final, non-refundable, non-cancellable, and non-reversible for any reason whatsoever, including change of mind, dissatisfaction, technical issues, or failure to complete an assessment.
4. Employer Refunds – Strict Dual Conditions
4.1 An Employer may request a refund of a purchased plan only if both of the following conditions are satisfied at the moment the request is received:
(a) the request is submitted within fourteen (14) calendar days of the original purchase date (the “Employer Refund Window”); and (b) the Employer has consumed ten percent (10%) or less of the monthly credit allocation associated with that specific Purchase.
4.2 To initiate any refund request, the Employer must first complete a permanent downgrade of the relevant account to the Free Plan.
4.3 If both conditions in Section 4.1 are met: (a) a full refund of the purchase price shall be issued to the original payment method; (b) the Employer retains only those Credits that have already been consumed; (c) all remaining unused Credits are immediately and permanently forfeited with no compensation; and (d) the account continues solely under the Free Plan and is thereafter limited to the standard Free Plan allocation of thirty (30) Credits per calendar month.
4.4 If either condition in Section 4.1 fails (including consumption of more than ten percent (10%) of Credits or expiry of the fourteen-day window), the Purchase is final and non-refundable under any circumstances.
5. Cooling-Off and Anti-Abuse Provisions
5.1 After any Employer refund is processed, the same Company (identified by registered company name, primary domain, billing identity, and related account data) is automatically ineligible for any further refund under this Policy for a continuous period of six (6) months (the “Cooling-Off Period”).
5.2 During the Cooling-Off Period, any attempt to obtain a refund through a new account, altered domain, related entity, or other device shall be deemed abusive and may result in immediate suspension or permanent termination of all related accounts.
5.3 Dex reserves the sole and absolute right to determine whether entities, domains, or accounts are related for purposes of this Section.
6. Chargebacks, Payment Disputes, and Fraud
6.1 You agree to contact Dex at support@askfordex.ca and to attempt good-faith resolution of any billing concern before initiating a chargeback, payment dispute, or similar proceeding with any bank, card issuer, or payment provider.
6.2 Initiation of a chargeback or payment dispute without prior good-faith contact constitutes a material breach of this Policy.
6.3 In the event of any chargeback or payment dispute: (a) Dex may immediately suspend or permanently terminate the affected account(s) and all related accounts; (b) Dex may revoke any Certification or Credential associated with the disputed transaction; (c) you remain fully liable for the original purchase amount plus all chargeback fees, penalties, collection costs, and reasonable legal fees incurred by Dex; and (d) Dex reserves the right to pursue recovery by any lawful means.
7. No Refund for Misuse, Abuse, or Violation
7.1 Dex shall have no obligation to issue any refund, and may permanently refuse future service, where Dex reasonably determines that: (a) the account has been used in violation of the Terms of Service or any applicable law; (b) the request is part of a pattern of abuse, serial refunding, or fraudulent activity; (c) false or misleading information was provided in connection with the Purchase or refund request; or (d) the refund request is made after substantial use of the purchased offering beyond the thresholds stated in this Policy.
8. Processing of Refunds
8.1 All approved refunds are processed exclusively through Shopify and its payment partners and are returned solely to the original payment method.
8.2 Dex has no control over, and accepts no liability for, the time required by banks or payment providers to post the refund. Typical posting times range from several business days to longer periods depending on the financial institution.
9. Limitation of Liability and Exclusive Remedy
9.1 To the maximum extent permitted by applicable law, the refund rights set out in this Policy constitute your sole and exclusive remedy for any claim related to a Purchase.
9.2 In no event shall Dex’s total aggregate liability arising out of or relating to any Purchase exceed the actual amount paid by you for that specific Purchase.
9.3 Dex shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including lost profits, lost data, or reputational harm, even if advised of the possibility of such damages.
10. Governing Law, Dispute Resolution, and Severability
10.1 This Policy shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.
10.2 Any dispute arising under this Policy shall first be subject to good-faith negotiation. If unresolved within thirty (30) days, the dispute shall be submitted to the exclusive jurisdiction of the courts of Vancouver, British Columbia.
10.3 If any provision of this Policy is held unenforceable, the remaining provisions shall continue in full force and effect.
11. Changes to This Policy
11.1 Dex reserves the unilateral right to amend this Policy at any time.
11.2 The revised Policy will be posted on the Services with an updated “Last Updated” date. Continued use of the Services after the effective date constitutes acceptance of the revised Policy.
