This Purchase Options and Cancellation Policy (the “Policy”) forms a legally binding part of the agreement between you (“you”, “your”, or “Employer”) and Dex Cognitive Analytics Inc. (“Dex”, “we”, “us”, or “our”), a corporation headquartered in Vancouver, British Columbia, Canada.

This Policy governs available Employer plans, purchase terms, credit allocations, cancellation, downgrade, and related rights on the Ask for Dex platform (the “Services”).

By purchasing any plan, acquiring Credits, or using paid features of the Services, you agree to be bound by this Policy. This Policy is incorporated into the Terms of Service and must be read together with the Return and Refund Policy and the Payments Terms of Service.

1. Available Employer Plans

1.1 Employers may select from the following plans (allocations and features are illustrative and subject to change):

  • Free Plan: Thirty (30) Credits per calendar month, available at no cost.
  • One Plan: Two hundred (200) Credits per calendar month.
  • Pro Plan: One thousand (1,000) Credits per calendar month.
  • Max Plan: Five thousand (5,000) Credits per calendar month. The Max Plan includes multi-user access, credit sharing among authorized team members, and candidate reassignment features.

1.2 Paid plans (One, Pro, and Max) may be purchased for the following fixed terms:

  • One (1) month
  • Three (3) months
  • Six (6) months
  • Twelve (12) months

1.3 Longer terms may be offered at reduced rates (volume pricing). The exact pricing, currency, and any applicable taxes will be clearly displayed at the time of purchase and form part of the binding purchase contract.

2. Credits

2.1 Credits are limited units that authorize an Employer to send invitations and initiate related sponsored activity on the Services.

2.2 Credits are allocated on a monthly basis according to the selected plan and the then-current billing cycle.

2.3 Unused Credits do not roll over to any subsequent month or term unless Dex expressly states otherwise in writing at the time of purchase.

2.4 Credits have no cash value, are non-transferable, non-assignable, and may not be sold, exchanged, or redeemed for cash or any other consideration, except for limited collaboration features expressly enabled under the Max Plan.

2.5 Dex reserves the sole right to determine whether any use of Credits constitutes abuse, circumvention, or violation of this Policy or the Terms of Service.

3. Purchase and Payment

3.1 All payments are processed exclusively through Shopify and its authorized payment partners. Dex does not store full payment card details.

3.2 By completing a purchase you authorize Dex and its payment processors to charge the designated payment method for the full amount of the selected plan, plus all applicable taxes and charges.

3.3 You are solely responsible for ensuring that the payment method on file remains valid and has sufficient funds or credit. Failed payments may result in suspension of paid features.

4. Cancellation and Downgrade

4.1 Employers may cancel a paid plan or downgrade to the Free Plan at any time through the account settings in the Employer Portal.

4.2 Except where a refund is requested and approved under the Return and Refund Policy, cancellation or downgrade takes effect only at the end of the then-current paid billing period.

4.3 Upon effective cancellation or downgrade:

(a) access to the higher credit allocation and any paid-plan features terminates; (b) the Account is automatically moved to the Free Plan and limited to the standard Free Plan allocation of thirty (30) Credits per calendar month; and (c) all remaining unused paid Credits are immediately and permanently forfeited, except only to the extent a refund has been approved under the Return and Refund Policy.

4.4 No pro-rated refunds, credits, or compensation are provided for early cancellation or downgrade except as expressly required by the Return and Refund Policy.

5. Account Requirements

5.1 Employer Accounts must be registered and maintained using a corporate email address associated with the Company’s official domain.

5.2 Free or consumer email providers (including but not limited to Gmail, Yahoo, Hotmail, Outlook.com, iCloud, and similar services) are strictly prohibited for Employer Accounts.

5.3 Dex reserves the right to suspend, restrict, or permanently terminate any Account that violates this requirement, without notice and without liability.

6. Changes to Plans and Pricing

6.1 Dex reserves the unilateral right to modify plan features, credit allocations, pricing, term options, or any other aspect of the paid offerings at any time.

6.2 Where required by applicable law, material changes will be communicated in advance. Continued use of the Services after the effective date of any change constitutes acceptance of the updated terms.

6.3 No price change will retroactively increase the amount already paid for a fixed term that is then in effect, unless required by law or expressly agreed.

7. Termination of Access

7.1 Dex may suspend or permanently terminate access to paid features or to the Services entirely, immediately and without notice, if:

(a) you breach this Policy, the Terms of Service, the Payments Terms, or any other applicable policy; (b) you engage in fraudulent, abusive, or high-risk activity; or (c) Dex determines, in its sole discretion, that continued access poses a risk to the platform, other users, or Dex’s legitimate interests.

7.2 Upon any such termination, all unused Credits are immediately and permanently forfeited, and no refund will be provided except as expressly required under the Return and Refund Policy.

8. Relationship to Other Policies

8.1 This Policy is intended to operate together with the Terms of Service, Privacy Policy, Payments Terms of Service, and Return and Refund Policy.

8.2 In the event of any conflict regarding refunds, the Return and Refund Policy controls. In the event of any conflict regarding payment processing or chargebacks, the Payments Terms of Service control.

9. Governing Law

This Policy shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles. Any dispute arising under this Policy shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
